1. The agreement
These Terms & Conditions (the “Terms”) are a binding contract between you (the “Customer”, “you”) and Ascendlink Technologies Private Limited, a company incorporated under the Companies Act, 2013 with its registered office in Gurgaon, Haryana, India (“Ascendlink”, “Sikka”, “we”).
By creating an account, signing in, or otherwise using the Sikka platform (the “Service”) you agree to these Terms and to our Privacy Policy. If you are using Sikka on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
2. What Sikka does
Sikka is a software-as-a-service platform that helps Indian businesses manage their Google Business Profile listings, reviews, posts, photos, Q&A, and Google Merchant Center product catalog through Google's public APIs. The Service is provided on a subscription basis with the features described on sikka.my. Features may evolve, be added, or be retired with reasonable notice.
3. Eligibility and accounts
- You must be at least 18 years old and capable of entering a binding contract under Indian law.
- Sikka is offered to legitimate businesses operating in India. We may decline or terminate accounts that we believe were created to abuse the Service or to violate Google's policies.
- You are responsible for keeping your credentials safe and for every action taken under your account. Notify us at hello@sikka.my if you suspect unauthorized access.
4. Your Google account and content
Sikka acts on your behalf using OAuth credentials that you grant. You represent that:
- You are an authorised owner or manager of the Google Business Profile locations, Merchant Center accounts, and any other Google resources you connect to Sikka.
- All content you publish through Sikka - reviews replies, posts, photos, product listings - complies with Google's policies, applicable Indian laws including the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Drugs and Cosmetics Act and any rules made thereunder, and third-party rights.
- You will not use Sikka to publish misleading information, fake reviews, illegal products, or content that infringes intellectual property or violates dignity.
You retain ownership of your content. You grant Ascendlink a limited licence to host, process, transmit, and display that content solely to provide the Service to you.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to derive the source code of Sikka, except to the extent expressly permitted by Indian law.
- Resell, white-label, or otherwise commercialise the Service except under a written agency or reseller agreement signed with us.
- Use the Service to send spam, harvest data, or interfere with the systems of Google, Sikka, or any third party.
- Probe, scan, or test the vulnerability of the Service without our prior written authorisation.
- Use automated means to circumvent rate limits, anti-abuse measures, or the published API quotas of Google.
6. AI-assisted content
Sikka uses large language models to draft suggested replies, posts, and Q&A. Drafts are suggestions, not final content. You are responsible for reviewing and approving everything that is published to Google on your behalf, including for accuracy, appropriateness, and legal compliance. Sikka does not guarantee that AI output will be free of errors or that it will be acceptable to every reader.
7. Fees, billing, and refunds
- Plans, currencies, and billing cycles are shown on your account page at the time of purchase. Prices are inclusive or exclusive of GST as indicated. Sikka issues GST-compliant invoices.
- Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal.
- Fees are non-refundable for the period already paid, except where required by law or where explicitly stated in a written agreement.
- We may change pricing on 30 days' notice; changes apply to your next renewal.
- Overdue invoices may attract simple interest at 1.5% per month from the due date until paid.
8. Intellectual property
Ascendlink owns all rights, title, and interest in Sikka, including the brand “Sikka”, the सिक्का wordmark, the software, the documentation, and any feedback or suggestions you provide. No licence is granted to you by implication, estoppel, or otherwise except as expressly set out in these Terms.
9. Third-party services
The Service depends on third-party providers including Google, our cloud host, payment gateways, and messaging providers. We are not responsible for outages, downtime, policy changes, or content decisions made by those providers, including any decision by Google to suspend, restrict, delete, or refuse to allow-list your Business Profile or Merchant Center account. Your use of Google services remains subject to Google's own Terms of Service.
10. Service availability
We aim for high availability and publish status at our public status page. The Service is provided on an “as is” and “as available” basis. Unless agreed in a separately signed enterprise contract, no specific uptime is guaranteed.
11. Warranties and disclaimer
To the maximum extent permitted by law, Ascendlink disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, ranking improvement on Google Maps, or any specific business outcome. Sikka is a tool; results depend on your operations and on Google's independent ranking systems.
12. Limitation of liability
To the maximum extent permitted by Indian law, Ascendlink's aggregate liability arising out of or relating to the Service, in contract, tort, or otherwise, is limited to the fees actually paid by you to Ascendlink in the twelve (12) months immediately preceding the event giving rise to the claim. Ascendlink is not liable for indirect, incidental, consequential, exemplary, or punitive damages, loss of profits, loss of goodwill, loss of data, or business interruption.
13. Your indemnity
You agree to defend, indemnify, and hold harmless Ascendlink, its directors, employees, and contractors against any claim, demand, or proceeding brought by a third party arising out of (a) content you published using Sikka, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) misuse of your Google account credentials.
14. Suspension and termination
You may cancel your subscription at any time from inside the product. We may suspend or terminate your access if (a) you fail to pay fees when due after a 7-day grace period, (b) you breach these Terms or applicable law, (c) Google requires us to do so, or (d) we discontinue the Service after 30 days' notice.
On termination, your right to use the Service ends. We will keep data per the retention windows described in the Privacy Policy and you can request export of your data, where technically feasible, for 30 days after termination.
15. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute, claim, or controversy arising out of or in connection with these Terms shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Gurgaon, Haryana, India. The language of arbitration shall be English. Subject to arbitration, the courts at Gurgaon shall have exclusive jurisdiction.
16. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disasters, war, civil unrest, regulatory action, internet outages, or denial-of-service attacks. Affected obligations are suspended for the duration of the event.
17. Miscellaneous
- We may update these Terms from time to time. Material changes will be notified at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
- If any provision is held unenforceable, the remainder of the Terms will continue in full force.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices to you may be given via email or inside the product. Notices to us must be sent to hello@sikka.my.
- These Terms together with the Privacy Policy and any order form signed with us constitute the entire agreement between you and Ascendlink with respect to the Service.
